Purpose of the role:

The primary responsibility of the Corporate Governance Analyst is to put in place a framework that ensures FundRock are managing our Internal Governance in line with best practise.  This is to ensure that there is clear structure to our Internal Governance forums that meetings are scheduled, papers are reviewed with packs collated, Agendas set, challenges take place as appropriate within these forums and that Minutes from these meetings are delivered timely and accurately to attendees.

A key part of the role is to act as an integral central point of contact internally including Senior Management and other Internal Stakeholders to ensure we deliver to our governance framework model.

This is a most broad role including a great portfolio of work and deliverables and may lead to a position with the wider Company Secretary Function.

Key Responsibilities

  • Act as a central point of contact and escalation for internal committees
  • Ensure that FRP Corporate Governance policy is updated to reflect changes in best practice, regulation, corporate policy or staff
  • Prepare and maintain a rolling calendar for the respective committees
  • Co-ordinate all committee meetings (including preparing agendas, supporting documentation and accurate minutes, following up action points, and making sure meetings run in accordance with prevailing policy)
  • Assist the Company Secretary to coordinate Board meetings (including preparing agendas and accurate minutes, following up action points, and making sure meetings run in accordance with prevailing rules)
  • Development of committee MI packs
  • Coordinating communications with Board members between meetings and being the primary point of contact for Board members in terms of registers of interests and hospitality, remuneration and expenses, invitations and correspondence.
  • Overseeing arrangements for annual SMCR evaluation and reviews
  • Proactively identifying new developments in best practice
  • Any other duties that might reasonably be required of you in the post
  • Attend all internal weekly/monthly and ad-hoc Committee related calls

Key Attributes and Qualifications

  • Ability to form relationships both internally that will include Senior Management
  • Ability to communicate effectively both written and verbal to internal committees
  • IMC qualification would be beneficial but opportunity to look at taking this or similar professional qualification
  • Strong Microsoft Office knowledge, specifically Microsoft Excel and Word;
  • Previous experience within a financial background or within an administration team
  • Good industry knowledge coupled with a willingness to learn and expand
  • Ability to respond to all queries in a concise and professional manner
  • Ability to problem solve and create more efficient working practises
  • Have excellent attention to detail
  • Time Management as timely deliverables will be key with emphasis on planning
  • Demonstrate abilities to work as both part of a team and individually in order to juggle multiple tasks
  • Provide excellent customer service to internal stakeholders and potentially externally too
  • Be flexible and have a can do attitude
