If your entity is registered in Delaware, now is the time to act. Missing the deadline can lead to costly penalties and jeopardise your good standing.
If you operate a limited liability company (“LLC”), series LLC, or limited partnership (“LP”) registered in Delaware, now is the time to prepare for an important annual obligation. The deadline for paying franchise tax is June 1, and in 2025, this date falls on a Sunday. The State of Delaware will not extend the deadline - meaning late payments will incur penalties and interest.
What you need to know
All Delaware-registered LLCs and LPs must pay a minimum franchise tax of $300 per year. If payment is not submitted by the deadline, a $200 late penalty applies, along with 1.5% monthly interest on the unpaid balance. Non-compliance may also affect your entity’s good standing and ability to operate.
Stay compliant, stay protected
To help streamline the process and ensure your entity remains in good standing with the Delaware Secretary of State, we offer a convenient compliance service for an additional fee. This includes reminders, submission handling, and confirmation of filing.
