Further to our previous notification in February 2025, find an update on the implementation of the Economic Crime and Corporate Transparency Act 2023 (“ECCTA”).
The ECCTA represents a significant legislative development aimed at combating economic crime by increasing corporate transparency in the UK. One of the cornerstone measures introduced under the ECCTA is the identity verification for all directors/LLP members, people with significant control (“PSC”) and those filing information on behalf of companies. This aims to prevent fraudulent entries in the corporate registry, ensuring that only legitimate individuals are involved in company operations.
We previously notified you of the identity verification process, introduced for new and existing directors/LLP members, and PSCs, which was initially voluntary since April 8, 2025.
Following the voluntary identity verification requirements, Companies House has recently issued a notice that the mandatory requirement will come into force with effect from November 18, 2025. From this date, new directors/LLP members and PSCs will need to verify their identity at the point of incorporation. A transition period of 12 months will commence during which existing directors/LLP members and PSCs will be required to verify their identity. Upon completion of the verification process, Companies House will issue each individual with a unique personal code that will be required to be included in the company’s next confirmation statement.
Individuals will be able to verify their identity directly with Companies House, or through an Authorised Corporate Service Provider (“ACSP”). We are pleased to advise you that Apex Group has been registered as an ACSP and will be able to assist you with the mandatory identity verification.
Please note that non-compliance with these regulations is a criminal offence and may result in significant consequences, including not being able to act as a director/LLP member and potential rejection of documents causing delays in statutory filings, which could incur financial penalties. Companies House could also commence a compulsory strike off to remove the company from the register.
