Evergreen funds: from concept to reality

Private markets have always operated on a familiar model: closed-end funds with fixed terms, capital calls, and exit timelines. That structure worked, but it created barriers. High minimum investments, long lock-up periods, and limited liquidity kept many investors on the sidelines. Evergreen funds are changing that equation.

These perpetual vehicles offer ongoing capital raising, investor liquidity options, and long-term growth without the constraints of a predetermined end date. For managers, they mean more predictable fundraising and reduced operational friction. For investors, they provide access to private markets with greater transparency and flexibility around redemptions. The model is gaining traction because it addresses real problems on both sides of the equation.

Why evergreen structures matter now

The numbers behind wealth transfer tell part of the story. Over the coming decades, an estimated $105 trillion will move between generations. Younger investors have different expectations. They want exposure to private equity, credit, and real assets, but they also want liquidity options and ongoing access rather than decade-long commitments.

Traditional fund structures weren't built for this. Evergreen funds bridge that gap. They allow investors to enter and exit based on net asset value calculations, similar to how they might approach public market investments. This doesn't mean instant liquidity at any moment, but it does mean more manageable redemption windows and transparent valuation processes.

For asset managers, the appeal is equally clear. Perpetual capital means less time spent on fundraising cycles and more time focused on portfolio management. There's still work involved in managing liquidity and investor communications, but the operational model is more sustainable over time.

Market snapshot: the rise of evergreen funds

    • Evergreen and semi-liquid vehicles are capturing a growing share of private market fundraising
    • Private credit and real estate are leading growth, supported by steady underlying cashflows
    • Wealth platforms are accelerating adoption as managers respond to shifting investor demand
The infrastructure challenge

Moving from concept to implementation requires the right operational backbone. Evergreen funds create different demands compared to traditional closed-end structures. NAV-driven redemptions need accurate, timely valuations. Cross-border distribution requires regulatory compliance across multiple jurisdictions. Investor services must handle ongoing subscriptions and redemptions efficiently.

This is where many managers hit obstacles. The infrastructure that worked for traditional funds doesn't always translate. Systems need to accommodate secondary transactions, income distributions, and liquidity management in ways that align with the perpetual nature of the vehicle. Technology plays a role but so does experience with the regulatory and operational requirements across different markets.

Global reach matters here. Funds operating across 50+ jurisdictions need partners who understand local requirements and can coordinate administration, custody, depositary services, and investor relations across borders. It's not just about having the technology. It's about having teams on the ground who know how things work in each market.

Continuing the conversation

On October 14, 2025, we hosted an exclusive panel and networking event in London, bringing together industry leaders, private banks, and advisors to discuss the evolution of evergreen fund structures. The event, held at Upstairs at Langan’s on Stratton Street, brought together managers, private banks, and advisers to explore liquidity windows, cross-border distribution, and infrastructure readiness.

Topics included:

    • How redemption windows are structured and managed
    • Operational workflows supporting frequent NAV calculations
    • Distribution considerations across the UK, EU and further afield

Attendees agreed that firms investing early in systems and processes designed for perpetual capital are already gaining a competitive advantage through improved launch speed, investor confidence, and liquidity oversight.

How we can help

We work with managers at every stage of evergreen fund development, design, launch, infrastructure, and ongoing operations. If you are assessing whether a perpetual vehicle is suitable for your strategy, our teams can help evaluate operational fit, liquidity design and regulatory requirements across your target markets.
