MFSA Code of Corporate Governance

Isabelle Agius, Head of Regulatory Services sharing updates on recent developments for the MFSA Code of Corporate Governance

On 5 August 2022, the MFSA issued the Corporate Governance Manual. The Authority’s aim is to ensure that all authorised entities operate transparently, efficiently and effectively. The Code is divided into 4 sections:

  • the effective board;
  • Internal controls;
  • Stakeholder engagement;
  • Corporate culture, CSR and ESG.

It is the responsibility of the Board to ensure that there is good corporate governance thereby fostering mutual trust with stakeholders, including customers, employees, intermediaries and the general public. The Code is applicable to all unlisted entities authorised by the MFSA. Entities are expected to comply with the provisions of the Code on a best-efforts basis and subject to the principle of proportionality.
